AI Readiness Assessment Terms of Service

1. Acceptance of Terms

By submitting the AI Readiness Assessment form and checking the required consent box, you:

  • Agree to be bound by these legally enforceable Terms of Service.

  • Confirm that you are authorized to act on behalf of your organization.

  • Acknowledge and accept our Privacy Policy.

Use of this product signifies informed consent and creates a binding agreement.

2. Data Ownership & Use

2.1 Input Data (User-Submitted)

  • You retain full ownership of all submitted data.

  • By submitting, you grant PopTech Studio LLC a non-exclusive, worldwide, royalty-free license to:

    • Process the data for report scoring and generation.

    • Perform de-identified, aggregated analytics to improve system performance.

    • Train models with fully anonymized, non-attributable metadata only.

We do not ingest or train on confidential business data or personally identifiable information without express written consent.

2.2 Output Data (Score, Report, System IP)

  • PopTech Studio owns all intellectual property rights in:

    • The Readiness Scoring algorithm and benchmarking models.

    • AI reasoning logic, templates, report formatting, and UX design.

    • All associated prompt engineering and automation infrastructure.

  • You receive a non-transferable, limited-use license for internal use only.

3. User Obligations & Restrictions

You may not, under any circumstance:

  • Submit false, misleading, or unauthorized information.

  • Use the tool to collect competitive intelligence.

  • Reverse-engineer or replicate scoring methodologies.

  • Share or publish assessment results for commercial gain or public dissemination.

  • Circumvent authentication or security protocols.

Violation of these terms may result in permanent suspension and legal action.

4. AI Governance & System Limitations

4.1 Scope & Limitations

  • The AI Readiness Score is an informational tool and does not constitute legal, compliance, or investment advice.

  • All outputs are probabilistic, not deterministic.

  • Reports are based on user inputs and cannot predict future business performance or guarantee AI implementation outcomes.

Output Interpretation Disclaimer: The Readiness Score and resulting recommendations are generated by predictive AI systems using probabilistic modeling and prompt-driven inference. These outputs are not facts, guarantees, or determinations of business success or failure. You acknowledge that any use of the report, score, or insights is at your sole risk and discretion, and agree not to attribute decisions or downstream effects to PopTech Studio.

Non-Reliance: You represent and warrant that you are not relying on any report or output from PopTech Studio as a substitute for independent judgment, professional consultation, or strategic business planning. PopTech Studio disclaims any responsibility for decisions made in reliance on AI-generated assessments.

Third-Party Tools & Data: Reports may incorporate third-party data or rely on external tools (e.g., language models, APIs, public databases). PopTech Studio does not control, audit, or warrant the accuracy or availability of such external systems, and disclaims any liability arising therefrom.

AI System Updates & Model Drift: Our AI systems are subject to ongoing refinement, retraining, and optimization. As such, scores or reports may differ across versions. PopTech Studio makes no warranty of consistency across time and accepts no liability for discrepancies due to model evolution.

4.2 Human Oversight Protocols

  • Automated validation is applied to 100% of reports.

  • 15% of reports undergo randomized human review for quality assurance.

  • Users may request human verification (subject to review fee).

5. Data Privacy & FDBR Compliance (Florida Digital Bill of Rights)

PopTech Studio complies with Florida Statutes § 501.173 (FDBR).
Florida residents have the right to:

  • Access, correct, or delete personal data collected.

  • Opt out of AI-driven processing of their personal information.

  • Request a record of automated decision-making protocols.

We do not knowingly process data from individuals under the age of 18.

6. Data Security

We enforce enterprise-grade data security protocols:

  • AES-256 encryption (in transit and at rest)

  • SOC 2 Type II infrastructure compliance

  • Role-based access controls and endpoint monitoring

  • Annual third-party penetration testing

  • Retention policies in line with Florida Records Retention Law (Fla. Stat. § 119.011(12))

Data is retained only as long as necessary to fulfill the stated purpose, after which it is permanently deleted using secure disposal methods.

7. Limitations of Liability

To the maximum extent permitted by law, PopTech Studio is not liable for:

  • Indirect, incidental, or consequential damages

  • Business decisions made based on assessment outputs

  • Errors in third-party datasets or user-provided inputs

  • AI drift or scoring variations over time

The tool is offered “as-is” with no warranty of fitness for a particular purpose.

8. Termination of Access

We reserve the right to suspend or terminate access if you:

  • Violate these Terms

  • Introduce malware or corrupted inputs

  • Attempt to compromise system security or model integrity

  • Share proprietary content in violation of data export or compliance laws

Prohibited Use: You agree not to export, redistribute, or otherwise transmit any outputs, scoring systems, or proprietary reports to jurisdictions under export control restrictions, or to any third party engaged in AI model training, replication, or reverse engineering. Violations may result in immediate legal action and forfeiture of access.

9. Governing Law & Jurisdiction

These Terms are governed by the laws of the State of Florida, without regard to conflict of laws.

  • All disputes shall be resolved in the state or federal courts of Miami-Dade County, Florida.

  • You consent to personal jurisdiction in these courts.

  • Class action and jury trial waivers apply.

  • No claim may be filed unless actual damages exceed $1,000 USD, except for injunctive or equitable relief regarding IP misuse or security breaches.

10. Force Majeure

PopTech Studio shall not be liable for any failure or delay in performance due to circumstances beyond its control, including but not limited to natural disasters, infrastructure outages, governmental actions, cyberattacks, or third-party service disruptions.
